By downloading, installing, accessing, or using the ZenGen mobile application ("App"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms, policies, or guidelines incorporated herein by reference. If you do not agree to all of these Terms, you must not use the App. Your continued use of the App following the posting of any changes to these Terms constitutes acceptance of those changes. These Terms constitute a legally binding agreement between you and ZenGen ("we," "our," or "us"). Please read them carefully.
You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use this App. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the App, you represent and warrant that: • You have the legal capacity to enter into a binding agreement. • You are not barred from using the App under any applicable law. • You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
ZenGen is a meditation and wellness application that provides personalized, AI-generated meditation sessions based on your spoken input. The App includes: • Audio recording of your verbal reflections on your emotional state. • AI-powered transcription, mood analysis, and meditation script generation. • Text-to-speech audio synthesis of meditation sessions. • Session playback and history features. • Streak tracking and gamification elements. • Optional push notifications for meditation reminders. • A free tier with limited daily usage and a premium tier with expanded features. ZenGen is provided as a general wellness and relaxation tool. It is NOT a medical device, healthcare service, therapy, counseling, or mental health treatment platform. It does not provide medical advice, diagnoses, or treatment recommendations.
When you use ZenGen, a local user profile is created on your device. You may optionally provide your name, email address, and phone number. You are responsible for ensuring that the information you provide is accurate and up to date. You are solely responsible for: • Maintaining the security of the device on which ZenGen is installed. • All activity that occurs under your user profile. • Keeping your device software updated and properly secured. We reserve the right to suspend or terminate access to accounts that are used in violation of these Terms.
ZenGen offers a free tier and a premium subscription tier ("ZenGen Premium").
The free tier provides limited access to ZenGen features, including: • One meditation session per day. Voice recordings are limited to 15 seconds, and the generated meditation audio is approximately one minute. • Access to session history (text-based; playback is a premium feature). • Basic streak tracking.
ZenGen Premium is offered as an auto-renewable subscription at $13.99 per month (or the equivalent in your local currency as determined by the App Store). Premium features include: • Extended meditation sessions (up to 15 minutes per day, across multiple sessions). • Fully custom AI-generated meditation audio. • Session playback and replay. • AI Journey insights. • Streak freeze protection.
• Subscription purchases are processed through the Apple App Store. All billing is managed by Apple in accordance with Apple's terms and conditions. • Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. • Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan. • You may manage your subscription and turn off auto-renewal in your Apple ID Account Settings at any time after purchase.
• You may cancel your premium subscription at any time through your Apple ID Account Settings or through the App's settings. • Upon cancellation, you will retain access to premium features until the end of your current paid billing period. After that date, your account will revert to the free tier. • No refunds will be provided for partial subscription periods, except as required by applicable law or Apple's refund policies. • We do not offer prorated refunds for unused portions of a subscription period.
We reserve the right to change subscription pricing at any time. Any price changes will take effect at the start of the next billing period following the date of the price change. We will provide you with reasonable advance notice of any price increases. Your continued use of the premium subscription after the price change takes effect constitutes your acceptance of the new price.
ZenGen offers an optional Affiliate Program that allows approved users to earn rewards for referring new paying members. Participation is voluntary, requires a separate application and ZenGen's approval, and is governed by the ZenGen Affiliate Agreement, which is incorporated into these Terms by reference. Key terms (the full Affiliate Agreement controls): • You must be at least 18 years old and provide accurate information for identity verification. • You must clearly and conspicuously disclose any paid or commissioned promotion (for example, "#ad"), in compliance with the FTC Endorsement Guides and applicable law. • Commissions are earned only after a referred member has been a continuously paying Premium member for three full months (beginning with their fourth paid month), only on payments that have actually cleared, and continue for up to twelve months or until the member cancels. • Payouts are made exclusively through Stripe; you will not be paid unless you have registered and verified a Stripe payout account with accurate tax information. • ZenGen may withhold, decline, or reverse payment to, and may suspend or remove, any affiliate at any time, in its good-faith belief of bad acting or any violation, without the need to provide evidence. • Self-referrals, fake or incentivized sign-ups, fraud, and misleading or health/medical claims are prohibited. "User Content" refers to any audio recordings, text transcriptions, and other content you create or submit through the App.
You retain ownership of the original content you provide (e.g., your spoken words during recording). However, you grant us a limited, non-exclusive, royalty-free license to process your User Content solely for the purpose of providing the App's services to you (e.g., transcription, meditation generation). This license terminates when you delete your account or the relevant content.
Meditation scripts, audio files, mood analyses, and other outputs generated by the App using AI are created specifically for your personal use. You are granted a personal, non-exclusive, non-transferable license to use generated content for your own private, non-commercial purposes. You may not reproduce, distribute, publicly display, sell, license, or create derivative works from AI-generated content for commercial purposes without our prior written consent.
You agree not to: • Use the App for any unlawful purpose or in violation of any applicable law or regulation. • Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App. • Interfere with or disrupt the App's servers, networks, or infrastructure. • Attempt to gain unauthorized access to any portion of the App or any systems or networks connected to the App. • Use the App to transmit harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable content. • Use the App to impersonate any person or entity. • Use automated means (bots, scrapers, etc.) to access or interact with the App. • Circumvent, disable, or otherwise interfere with security-related features of the App, including features that limit daily usage. • Resell, redistribute, or sublicense access to the App or any content generated by the App. • Use the App in any manner that could damage, disable, overburden, or impair our servers or networks.
ZenGen reserves the absolute and unqualified right, at its sole and exclusive discretion, to refuse, decline, block, or otherwise decline to process any submission, prompt, transcript, recording, typed text, or other input submitted to the App — in whole or in part, on any occasion or on all occasions, with or without notice — without providing any explanation, justification, or reasoning to you or any third party. This discretion applies to any input for any reason or for no reason, including but not limited to inputs we determine in good faith to be unsafe, off-topic, abusive, harmful, unlawful, misleading, fraudulent, spam-like, automated, disruptive, or otherwise outside the intended purpose of the App. We are under no obligation to disclose the specific basis for any refusal, to apply refusal criteria consistently across users or sessions, or to review refusal decisions upon request. A refusal does not constitute a breach of these Terms, a failure of the Service, or a basis for any refund, credit, or other compensation. Refused inputs will not be saved, synchronized, or used to generate content, and will not be counted against any daily session, minute, or generation limit associated with your account. You remain free to submit a different input at any time, subject to these Terms. By using the App, you irrevocably waive any claim against ZenGen arising from, or relating to, any refusal to generate content under this Section 6.4.
The App, including but not limited to its design, code, graphics, animations, mascot character ("Sloth"), user interface, text, audio, and underlying algorithms, is the exclusive property of ZenGen and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. "ZenGen," the ZenGen logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ZenGen. You may not use such marks without our prior written permission. All third-party trademarks, service marks, logos, and trade names referenced in the App are the property of their respective owners.
The App integrates with third-party services to provide its core functionality, including but not limited to: • OpenAI (for text processing and meditation script generation) • ElevenLabs (for text-to-speech audio synthesis) • Supabase (for cloud data synchronization) • Apple StoreKit (for subscription management) Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services. We make no warranty or representation regarding the accuracy, reliability, or completeness of any content generated by AI services. AI-generated meditation scripts may occasionally contain errors, inconsistencies, or inappropriate content.
ZenGen relies on generative artificial intelligence ("AI") and large language models ("LLMs") provided by third parties to create personalized meditation content. By using the App, you acknowledge and agree to the following: Nature of AI-Generated Content. All meditation scripts, mood analyses, session summaries, mantras, and other text or audio content generated by the App are produced by AI systems. These outputs are probabilistic in nature and may vary in quality, accuracy, tone, and appropriateness. AI-generated content does not reflect the views, opinions, or endorsements of ZenGen. Evolving Technology. The AI models and services underlying the App are subject to change, updates, and improvements by their respective providers at any time without notice. Such changes may affect the style, quality, or behavior of generated content. We do not guarantee consistency of outputs across versions or updates of the underlying AI models. No Guarantee of Accuracy or Suitability. We do not warrant that AI-generated content will be accurate, complete, appropriate, free of bias, or suitable for any particular purpose. You should exercise your own judgment when using any content generated by the App. Data Processing by AI Providers. When you use the App, certain data you provide (such as voice recordings and transcribed text) is transmitted to third-party AI service providers for processing. While we take commercially reasonable steps to protect your data in transit, once your data is processed by a third-party AI provider, it is subject to that provider's terms of service, privacy policy, and data handling practices. We cannot guarantee how third-party AI providers will store, process, retain, or use your data beyond the scope of their published policies. Limitation of Liability for AI Outputs. ZenGen shall not be held liable for any damages, claims, or losses arising from or related to: (a) the content, accuracy, or appropriateness of AI-generated outputs; (b) changes to third-party AI models or services; (c) the processing, storage, or handling of your data by third-party AI providers; or (d) any decisions or actions you take based on AI-generated content. Your Responsibility. You are solely responsible for how you use and interpret AI-generated content. The App is designed as a wellness aid and is not a substitute for professional advice of any kind.
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT: • THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. • THE RESULTS OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE. • ANY ERRORS IN THE APP WILL BE CORRECTED. • THE APP WILL BE COMPATIBLE WITH ALL DEVICES OR OPERATING SYSTEM VERSIONS. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE APP IS AT YOUR SOLE RISK.
ZENGEN IS NOT A MEDICAL APPLICATION. THE APP DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE MEDITATION SESSIONS AND CONTENT GENERATED BY THE APP ARE INTENDED FOR GENERAL WELLNESS AND RELAXATION PURPOSES ONLY. YOU SHOULD NOT USE THE APP AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN, MENTAL HEALTH PROFESSIONAL, OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENGEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR: • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. • ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. • ANY DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE APP. • ANY DAMAGES RESULTING FROM ANY CONTENT OBTAINED FROM THE APP. • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless ZenGen, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorneys' fees) arising from: • Your use of the App. • Your violation of these Terms. • Your violation of any third-party right, including any intellectual property, privacy, or proprietary right. • Any claim that your User Content caused damage to a third party.
We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to: • Violation of these Terms. • Fraudulent, abusive, or illegal activity. • Extended periods of inactivity. • Requests by law enforcement or other government agencies. • Discontinuation or material modification of the App. Upon termination: • Your right to use the App will immediately cease. • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. • We will not be liable to you or any third party for any termination of your access to the App.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of Delaware. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics or pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the App, constitute the entire agreement between you and ZenGen concerning the App and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the subject matter hereof.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default.
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
We reserve the right to modify these Terms at any time. When we make material changes, we will: • Update the "Last Updated" date at the top of these Terms. • Provide prominent in-app notice of the changes. • Where required by law, obtain your renewed consent. Your continued use of the App after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.
You acknowledge and agree that these Terms are between you and ZenGen only, and not with Apple Inc. ("Apple"). ZenGen, not Apple, is solely responsible for the App and its content. Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. ZenGen, not Apple, is responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be ZenGen's sole responsibility. ZenGen, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, ZenGen, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
